Terms of Service

These Terms of Service ("Terms") govern your access to and use of FluxWatch, a remote monitoring and management (RMM) platform operated by NerdyTechs Labs ("we," "us," or "our"), available at fluxwatch.io.
By creating an account or using FluxWatch, you agree to be bound by these Terms. If you do not agree, do not use the service.
1. Service Description
FluxWatch is a software-as-a-service (SaaS) platform designed for managed service providers (MSPs) and IT teams. The platform provides remote monitoring and management capabilities including:
- Real-time monitoring of CPU, memory, disk, and network metrics
- Installed software and patch tracking
- Remote command execution and terminal access
- Alerting and notification systems
- Device grouping and management
- Reporting and analytics
2. Account Registration and Responsibilities
To use FluxWatch, you must create an account by providing accurate and complete registration information. You agree to:
- Provide truthful, accurate, and current information during registration
- Maintain the security and confidentiality of your account credentials
- Notify us immediately of any unauthorized access to your account
- Accept responsibility for all activity that occurs under your account
- Not share your account credentials with unauthorized individuals
You must be at least 18 years of age to create an account. If you are registering on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
3. Acceptable Use
You agree to use FluxWatch only for lawful purposes and in compliance with these Terms. You shall not:
- Use the service for any illegal, unauthorized, or fraudulent activity
- Deploy the FluxWatch agent on devices without proper authorization from the device owner
- Attempt to reverse engineer, decompile, disassemble, or otherwise derive the source code of any part of the FluxWatch platform or agent
- Interfere with or disrupt the integrity or performance of the service
- Attempt to gain unauthorized access to any systems, networks, or data connected to FluxWatch
- Use the service to collect data in violation of any applicable privacy laws
- Resell, redistribute, or sublicense access to FluxWatch without our written consent
- Use the service to transmit malware, viruses, or other harmful code
We reserve the right to suspend or terminate accounts that violate these terms, with or without notice.
4. Billing and Payments
4.1 Free Trial
New accounts are eligible for a 14-day free trial that provides full access to FluxWatch features. No payment information is required to start the trial. At the end of the trial period, you must subscribe to a paid plan to continue using the service.
4.2 Subscription Plans
FluxWatch is offered on a monthly subscription basis. Subscription fees are billed at the beginning of each billing cycle. Prices are displayed on our website and may be updated with 30 days' prior notice.
4.3 Payment Processing
All payments are processed through Square. By providing payment information, you authorize us to charge your designated payment method for all applicable fees. You are responsible for keeping your payment method current and valid.
4.4 Late Payments
If a payment fails, we will attempt to process it again and notify you. If payment remains unresolved after 7 days, your account may be suspended. Data will be retained for 30 days after suspension, after which it may be permanently deleted.
5. Cancellation and Refunds
- You may cancel your subscription at any time through the FluxWatch dashboard or by contacting us at [email protected].
- Cancellation takes effect at the end of the current billing cycle. You will retain access to the service until that date.
- We do not provide prorated refunds for partial billing periods.
- Refund requests for the current billing cycle may be considered on a case-by-case basis within 7 days of the most recent charge.
- Upon cancellation, your data will be retained for 30 days. After that period, all data associated with your account will be permanently deleted.
6. Data Ownership
Your data belongs to you. All device data, system metrics, reports, and other information collected through your use of FluxWatch remains your property.
- You retain all rights, title, and interest in your data.
- We do not claim ownership of any data you submit to or collect through FluxWatch.
- We access your data only to provide, maintain, and improve the service, or as required by law.
- You may export your data at any time while your account is active.
- You grant us a limited license to process your data solely for the purpose of operating FluxWatch.

7. Intellectual Property
The FluxWatch platform, including its software, design, branding, documentation, and all related intellectual property, is owned by NerdyTechs Labs and is protected by applicable copyright, trademark, and other intellectual property laws.
These Terms do not grant you any right to use our trademarks, logos, or branding without prior written consent.
8. Limitation of Liability
To the maximum extent permitted by applicable law:
NerdyTechs Labs, its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or related to your use of FluxWatch.
- Our total aggregate liability for any claims arising from or related to these Terms or the service shall not exceed the total amount you have paid to us in the 12 months preceding the claim.
- We are not liable for any damage, loss, or disruption caused by errors, interruptions, or failures in the service.
- We are not responsible for actions taken based on monitoring data, alerts, or reports provided by FluxWatch.
9. Service Availability
We strive to maintain 99.9% uptime for the FluxWatch platform. However, this is a target and not a guarantee. Service availability may be affected by:
- Scheduled maintenance (we will provide advance notice when possible)
- Unplanned outages due to infrastructure failures, security incidents, or other unforeseen circumstances
- Third-party service disruptions beyond our control
- Force majeure events
We do not offer service level agreements (SLAs) with financial credits at this time. We will make commercially reasonable efforts to restore service as quickly as possible during outages.
10. Termination
We may suspend or terminate your access to FluxWatch at our sole discretion, with or without cause, including but not limited to:
- Violation of these Terms or our Acceptable Use policy
- Non-payment of subscription fees
- Conduct that we reasonably believe is harmful to other users, our platform, or third parties
- Requests by law enforcement or government agencies
Upon termination, your right to use FluxWatch ceases immediately. We may retain or delete your data in accordance with our Privacy Policy and applicable law.
11. Changes to These Terms
We reserve the right to modify these Terms at any time. When we make material changes, we will:
- Update the "Last updated" date at the top of this page
- Provide notice through the FluxWatch dashboard or via email
- Give you at least 30 days' notice before material changes take effect
Your continued use of FluxWatch after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree with the updated Terms, you must stop using the service and cancel your account.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United States. Any disputes arising from or relating to these Terms or your use of FluxWatch shall be resolved through binding arbitration or in the courts of competent jurisdiction.
You agree that any cause of action related to FluxWatch must be filed within one (1) year after the cause of action arises, or it will be permanently barred.
13. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
14. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and NerdyTechs Labs regarding your use of FluxWatch, and supersede any prior agreements or understandings.
